Merik Solutions provides enterprise software development, AI solutions, consulting, and related technology services. Our Services are provided subject to the following conditions:

• Any products or services offered by third parties
• Any damages or losses caused by third-party services

During the course of using our Services or engaging with us:

• Mutual Obligations: Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the relationship

• Exclusions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from a third party

We do not warrant that:

• Any defects will be corrected

Professional services delivered under separate service agreements are subject to the warranties and guarantees specified in those agreements.

Our total liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

You agree to indemnify, defend, and hold harmless Merik Solutions, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

• Your violation of any rights of a third party

Upon termination:

Termination of client service agreements is governed by the terms specified in those separate agreements.

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Islamabad, Pakistan, and you consent to the personal jurisdiction of such courts.

In the event of any dispute arising out of or relating to these Terms:

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Merik Solutions regarding the use of our Services.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.
• Notices: Any notices to Merik Solutions should be sent to the contact information provided below. We may provide notices to you via email or by posting on our website.
• Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, or government actions.
• Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
